1. Agreement to Terms
Welcome to EMskillz LLC ("EMskillz," "we," "us," or "our"). These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”), and EMskillz LLC, concerning your access to and use of our website (emskillz.com), as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto (collectively, the “Site”) and our training services.
By accessing the Site, registering for a course, or using our services, you agree that you have read, understood, and agree to be bound by all of these Terms. If you do not agree with all of these terms, then you are expressly prohibited from using the Site and our services and you must discontinue use immediately.
2. Intellectual Property Rights
Unless otherwise indicated, the Site and all its content, including source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics (collectively, the “Content”) and the trademarks, service marks, and logos contained therein (the “Marks”) are owned or controlled by us or licensed to us. The Content and the Marks are protected by copyright and trademark laws and various other intellectual property rights and unfair competition laws of the United States, foreign jurisdictions, and international conventions.
Content provided by the American Heart Association (AHA), American Red Cross, or the National Association of Emergency Medical Technicians (NAEMT), including but not limited to course manuals, videos, and examination materials, is the intellectual property of the respective organization and is used by EMskillz LLC under license and in accordance with their established guidelines.
3. User Representations
By using the Site and our services, you represent and warrant that: (1) all registration information you submit will be true, accurate, current, and complete; (2) you will maintain the accuracy of such information and promptly update such registration information as necessary; (3) you have the legal capacity and you agree to comply with these Terms; (4) you are not under the age of 13; (5) you will not use the Site or services for any illegal or unauthorized purpose; and (6) your use of the Site and services will not violate any applicable law or regulation.
4. Course Registration and Fees
Payment: Full payment is required at the time of registration to secure your seat in a course. All payments are processed through our secure third-party payment processors.
Pricing: Course rates are listed on our website and are subject to change without notice. The advertised rates include the cost of instruction, skills validation, and digital course completion card issuance. These rates do not include the cost of required course materials (e.g., provider manuals) unless explicitly stated.
AHA Disclaimer: The American Heart Association strongly promotes knowledge and proficiency in all AHA courses and has developed instructional materials for this purpose. Use of these materials in an educational course does not represent course sponsorship by the AHA. Any fees charged for such a course, except for a portion of fees needed for AHA course materials, do not represent income to the AHA.
5. Cancellation, Rescheduling, and Refund Policy
Our policies are designed to be fair to our students while accounting for the commitments we make to our instructors and facilities.
Refunds: All course fees are non-refundable.
Late Arrival: Arriving more than 15 minutes after the scheduled class start time will be considered a "No-Show." No refunds or rescheduling will be offered.
Rescheduling: You may reschedule your class one time at no charge, provided you notify us via email or text prior to your scheduled class start time. Subsequent rescheduling requests will incur a $25 administrative fee.
No-Shows: Failure to attend your scheduled course without prior notification will result in the forfeiture of all course fees.
6. Course Conduct and Prerequisites
Prerequisites: You are responsible for ensuring you meet all prerequisites for the course you are registered for, as outlined in our Course Attendance Agreement and on the AHA website. This includes possessing current provider manuals, completing any required online modules, and holding a valid, unexpired certification for all renewal courses.
Code of Conduct: We foster a respectful and professional learning environment. We reserve the right to remove any participant who exhibits disruptive, unsafe, or disrespectful behavior. Such removal will be without a refund.
Physical Requirements: Our courses require physical activity, including performing CPR on the floor. You attest that you are physically capable of performing these skills. If you have a physical condition that may limit your participation, you must notify us in advance to discuss possible accommodations in line with ADA and AHA guidelines.
7. Disclaimers and Limitation of Liability
General Disclaimer: The Site and our services are provided on an as-is and as-available basis. You agree that your use of the site and our services will be at your sole risk. To the fullest extent permitted by law, we disclaim all warranties, express or implied, in connection with the site and your use thereof, including, without limitation, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
No Guarantee of Success: While we provide high-quality training, we do not guarantee that you will successfully pass any course or obtain certification. Certification is dependent on your successful demonstration of all required knowledge and skills.
Limitation of Liability: In no event will we or our directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the site or our services, even if we have been advised of the possibility of such damages.
Assumption of Risk: You understand that participating in CPR and first aid training involves physical contact and activity. You voluntarily assume all risks associated with participation, including the risk of physical injury or exposure to communicable diseases. You agree to release and hold harmless EMskillz LLC from any and all claims related thereto.
8. Privacy Policy
We care about data privacy and security. Please review our Privacy Policy [Link to Your Privacy Policy]. By using the Site and our services, you agree to be bound by our Privacy Policy, which is incorporated into these Terms of Service.
9. Term and Termination
These Terms of Service shall remain in full force and effect while you use the Site or are a registered student. We reserve the right to, in our sole discretion and without notice or liability, deny access to and use of the Site and our services (including blocking certain IP addresses) to any person for any reason or for no reason.
10. Governing Law
These Terms of Service and your use of the Site and services are governed by and construed in accordance with the laws of the State of Tennessee applicable to agreements made and to be entirely performed within the State of Tennessee, without regard to its conflict of law principles.
11. Dispute Resolution
Any legal action of whatever nature brought by either you or us shall be commenced or prosecuted in the state and federal courts located in Montgomery County, Tennessee, and the parties hereby consent to, and waive all defenses of lack of personal jurisdiction and forum non conveniens with respect to venue and jurisdiction in such state and federal courts.
12. Miscellaneous
These Terms of Service and any policies or operating rules posted by us on the Site or in respect to the services constitute the entire agreement and understanding between you and us. Our failure to exercise or enforce any right or provision of these Terms shall not operate as a waiver of such right or provision.
